He regularly advises public and private companies, senior executives, management teams, change-in-control agreements, retention agreements and consulting agreements on compensation and benefit arrangements for compensation packages such as equity-based incentives and cash-based incentives, change-in-control provisions, retention arrangements and separation/separation contracts.

David Teigman is an internationally acclaimed employee benefits and executive compensation lawyer, specializing in complex matters such as equity-based compensation plans and change-in-control agreements. He frequently advises public and private companies, senior executives and management teams on executive compensation, benefit arrangements and associated tax, securities and corporate governance matters. He serves as co-chair of Proskauer’s Employee Benefits & Executive Compensation Group. He is widely respected by both clients and peers, serving as both business leader and attorney. Jacob’s Ladder Early Childhood Center counts him among their board of trustees; furthermore he holds membership with the American Bar Association.

David Teigman joined Proskauer Rose LLP as a Partner in its Tax Department and as a Member of its Employee Benefits & Executive Compensation Group. Mr. Lear specializes in executive compensation and benefits matters, particularly those associated with mergers and acquisitions, securities offerings and senior executive employment relationships. He counsels public and private companies, senior executives and management teams on all forms of compensation arrangements ranging from equity-based and cash-based incentives, change-in-control provisions, retention agreements, separation contracts and consulting agreements to corporate governance matters related to employment matters as well as tax law and securities law related to employee affairs. David joined our firm from Cadwalader, Wickersham & Taft LLP in September 2021 and strengthened the executive compensation and benefits practice area led by Andrea Rattner, Colleen Hart and Michael Album.
